Supplier Agreement
Effective Date: May 23, 2018
This Supplier Agreement ("Agreement") is entered into by and between Mitora™ ("Buyer") and the supplier ("Supplier") providing raw materials, ingredients, or finished products, including Urolithin A, for commercial purposes.
1. Product Quality and Compliance
- Supplier guarantees all products meet agreed specifications and comply with applicable laws and regulations.
- Supplier must provide Certificates of Analysis (COA), safety data sheets (SDS), and other required documentation.
- Any non-conforming goods must be reported and replaced promptly.
2. Order Fulfillment and Delivery
- Supplier agrees to deliver products by the agreed deadlines and quantities.
- Packaging must ensure product integrity during transit.
- Delays or shortages must be communicated immediately.
3. Pricing and Payment
- Pricing terms are agreed in writing before order confirmation.
- Payment terms, invoicing, and currency are defined per purchase order.
- Late payments may incur interest or penalties.
4. Confidentiality
- Both parties agree to maintain confidentiality of trade secrets, pricing, and business information.
- Confidential information shall not be disclosed to third parties without prior consent.
5. Intellectual Property
- Supplier shall not use Buyer’s trademarks or logos without permission.
- Products supplied must not infringe on third-party intellectual property rights.
6. Termination
- Either party may terminate this Agreement with written notice for breach or mutual consent.
- Obligations regarding confidentiality and pending payments survive termination.
7. Governing Law
This Agreement shall be governed by the laws of [Insert Jurisdiction].
